Terms & Conditions for POS Pro

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and POS Pro ("we," “us," or “our"), concerning your access to and use of the pos-sass.com website as well as our POS Pro application and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. POS Pro Early Access Program / Beta Phase

You acknowledge that POS Pro is currently offered under an Early Access Program (or "Beta Phase"). This means the Service is provided on an "as is" and "as available" basis for the purpose of testing and obtaining feedback. You understand that the Service may contain bugs, errors, and other problems, and may not be complete in its functionality.

We grant you a temporary, non-exclusive, non-transferable, revocable license to use POS Pro for your internal business testing and evaluation purposes during this Early Access Program. This license is provided free of charge during the Early Access Program.

We reserve the right to modify, suspend, or terminate access to the Service, or any part thereof, at any time, with or without notice, for any reason, including for maintenance, upgrades, or to address security concerns.

3. User Accounts

To use certain features of POS Pro, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

4. User Responsibilities and Acceptable Use

You agree to use POS Pro in compliance with all applicable laws and regulations. You are solely responsible for all data, information, and content you input, upload, or manage using POS Pro. You agree not to use the Service to:

  • Upload or transmit viruses or any other type of malicious code.
  • Engage in any activity that is fraudulent, false, or misleading.
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • Collect or track the personal information of others without their consent.
  • Interfere with or circumvent the security features of the Service.

5. Intellectual Property Rights

Unless otherwise indicated, the Service (including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics) is our proprietary property and are controlled by us or licensed to us, and are protected by copyright and trademark laws. We grant you no rights to our intellectual property except as expressly stated in these Terms.

You retain ownership of the data you input into POS Pro ("Your Data"). By using the service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, and store Your Data solely for the purpose of operating and providing the Service to you and for analytical purposes to improve the Service, provided that such analytical use will be in an aggregated and anonymized form.

6. Future Pricing and Service Changes

POS Pro is currently provided free of charge under our Early Access Program. We reserve the right to introduce paid subscription plans, offer premium features for a fee, or otherwise change the pricing model for POS Pro in the future.

We will provide you with reasonable prior notice (e.g., at least 30-60 days) of any such changes. If you do not agree to the new pricing, you may choose to discontinue using the Service. Information on data portability upon discontinuation will be provided as per Section 7.

7. Service Decommissioning and Data Download

We reserve the right to decommission the POS Pro service or parts of it in the future. In such an event, we will endeavor to provide users with reasonable prior notice (e.g., at least 30-90 days) and an opportunity to download their core business data (such as product lists, sales data, inventory records) in a common, machine-readable format (e.g., CSV, JSON).

We are not liable for any loss or damage following such decommissioning beyond the provision of this data download mechanism where feasible. It is your responsibility to ensure you regularly back up any critical data independently if desired.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICE AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Term and Termination

These Terms shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

10. Governing Law

These Terms shall be governed by and defined following the laws of India, and the state of Telangana. Any dispute arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

11. Changes to Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last Updated" date and the updated version will be effective as soon as it is accessible. You are responsible for reviewing these Terms to stay informed of our updates. Your continued use of the Service represents your acceptance of such changes.
